These IT Equipment Rental Terms & Conditions ("Rental Terms") govern the rental, leasing, deployment, use, maintenance, support, return and collection of laptops, desktops, servers and other IT equipment provided by Hyphenet Enterprises ("Hyphenet Enterprises", "we", "us", or "our") to customers ("Customer", "you", or "your").
These Rental Terms apply together with the applicable quotation, purchase order, rental agreement, service agreement, statement of work, SLA and other written commercial documents issued or accepted by Hyphenet Enterprises.
Where there is any conflict between these Rental Terms and a separately signed rental agreement or commercial agreement, the signed agreement shall prevail to the extent of the conflict.
1. DEFINITIONS
For these Rental Terms:
"Equipment"
means laptops, desktops, servers, monitors, workstations, networking equipment, peripherals, accessories and other IT hardware supplied by Hyphenet Enterprises on rental.
"Rental Period"
means the period for which the Equipment is rented to the Customer as specified in the applicable quotation or rental agreement.
"Rental Charges"
means the charges payable by the Customer for use of the Equipment.
"Security Deposit"
means the refundable or adjustable deposit, if any, required by Hyphenet Enterprises before deployment of Equipment.
"Customer"
means the company, organisation, individual or authorised representative entering into the rental arrangement.
"Delivery"
means the physical delivery or deployment of Equipment to the Customer or Customer's designated location.
"Return"
means the physical return or collection of Equipment by Hyphenet Enterprises or its authorised representative.
"Normal Wear and Tear"
means reasonable deterioration resulting from ordinary and proper use of Equipment.
"Damage"
means physical, electrical, functional or other deterioration beyond Normal Wear and Tear.
"Accessories"
means chargers, adapters, bags, cables, keyboards, mice, docking stations, monitors and other accessories supplied with Equipment.
2. SCOPE OF RENTAL SERVICES
Hyphenet Enterprises may provide rental of:
- Laptops;
- Desktop computers;
- Servers;
- Workstations;
- Monitors;
- Mini PCs;
- Thin clients;
- Networking equipment;
- Storage equipment;
- IT peripherals;
- Accessories; and
- Other IT equipment agreed with the Customer.
Equipment configuration, quantity, condition, rental period and pricing will be specified in the applicable quotation or rental agreement.
3. OWNERSHIP OF EQUIPMENT
Unless expressly agreed otherwise in writing, all Equipment supplied on rental remains the sole property of Hyphenet Enterprises or the relevant owner of the Equipment.
Rental of Equipment does not constitute a sale, transfer of title or transfer of ownership.
The Customer receives only a limited right to possess and use the Equipment during the agreed Rental Period.
4. NO SALE OR TRANSFER OF TITLE
The Customer shall not represent itself as the owner of rented Equipment.
The Customer shall not:
- Sell Equipment;
- Transfer Equipment ownership;
- Pledge Equipment;
- Mortgage Equipment;
- Create a lien over Equipment;
- Use Equipment as security;
- Donate Equipment;
- Dispose of Equipment;
- Sub-rent Equipment; or
- Transfer Equipment to an unauthorised third party.
5. RENTAL ORDER
A rental arrangement may be initiated through:
- Quotation;
- Purchase order;
- Email confirmation;
- Signed rental agreement;
- Service agreement;
- Online order;
- Written confirmation; or
- Other method accepted by Hyphenet Enterprises.
The rental becomes binding when accepted by Hyphenet Enterprises and subject to any required advance payment or documentation.
6. CUSTOMER VERIFICATION
Hyphenet Enterprises may request reasonable information or documentation before providing Equipment.
This may include:
- Company registration information;
- GST details;
- PAN;
- Billing information;
- Registered address;
- Delivery address;
- Authorised signatory details;
- Purchase order;
- Identification documents where legally appropriate;
- Contact details; and
- Other information reasonably required for customer verification.
Hyphenet Enterprises may decline or delay deployment where required documentation is incomplete.
7. QUOTATION
The quotation will specify, where applicable:
- Equipment type;
- Brand;
- Model;
- Configuration;
- Quantity;
- Rental rate;
- Rental Period;
- Security Deposit;
- Taxes;
- Delivery charges;
- Installation charges;
- Support charges;
- Minimum rental commitment;
- Payment terms;
- Replacement terms; and
- Other commercial conditions.
The quotation forms part of the rental arrangement once accepted.
8. EQUIPMENT AVAILABILITY
All Equipment is subject to availability.
Availability may vary due to:
- Location;
- Quantity;
- Configuration;
- Existing commitments;
- Supplier availability;
- Market conditions;
- Logistics; and
- Other operational requirements.
Acceptance of an enquiry does not guarantee Equipment availability until formally confirmed.
9. EQUIPMENT SPECIFICATIONS
The Equipment supplied will generally match the configuration specified in the quotation.
Where an exact model becomes unavailable, Hyphenet Enterprises may propose:
- Equivalent Equipment;
- Higher-specification Equipment; or
- Alternative Equipment.
Any material substitution will be communicated to the Customer where reasonably practicable.
10. NEW, USED OR REFURBISHED EQUIPMENT
Equipment may be:
- New;
- Used;
- Refurbished;
- Reconditioned; or
- Rental-grade.
The applicable quotation will specify the condition where commercially relevant.
Used or refurbished Equipment may have reasonable cosmetic signs of previous use.
11. RENTAL PERIOD
The Rental Period begins on the date specified in the applicable quotation or rental agreement.
The commencement date may be:
- Delivery date;
- Deployment date;
- Installation date;
- Acceptance date; or
- Another mutually agreed date.
The applicable written commercial document shall determine the commencement date.
12. MINIMUM RENTAL COMMITMENT
A minimum rental period may be agreed for particular Equipment or projects.
Where a minimum rental period is specified, the Customer remains responsible for the agreed Rental Charges for that minimum period unless otherwise agreed in writing.
Early return does not automatically cancel the minimum rental commitment.
13. RENTAL EXTENSION
The Customer may request extension of the Rental Period.
Extension is subject to:
- Equipment availability;
- Updated rental rates;
- Customer payment status;
- Commercial approval; and
- Other applicable conditions.
An extension should be confirmed in writing.
14. RENTAL CHARGES
Rental Charges shall be calculated according to the applicable quotation.
Charges may be based on:
- Per device;
- Per month;
- Per day;
- Per week;
- Per project;
- Per engineer; or
- Another agreed basis.
15. TAXES
Applicable GST and other statutory taxes shall be charged in addition to the rental amount unless expressly stated otherwise.
The Customer shall pay applicable taxes in accordance with Indian law.
16. SECURITY DEPOSIT
Hyphenet Enterprises may require a Security Deposit before Equipment is delivered.
The Security Deposit may be determined based on:
- Equipment value;
- Quantity;
- Rental duration;
- Customer profile;
- Credit assessment;
- Rental risk;
- Commercial terms; and
- Other relevant factors.
17. SECURITY DEPOSIT ADJUSTMENT
Hyphenet Enterprises may adjust the Security Deposit against amounts payable by the Customer, including:
- Unpaid rental;
- Damage;
- Loss;
- Theft;
- Missing accessories;
- Repair;
- Replacement;
- Late return;
- Unpaid service charges; or
- Other amounts properly payable under the rental arrangement.
18. SECURITY DEPOSIT REFUND
Subject to the applicable commercial arrangement, the remaining Security Deposit balance may be refunded after:
- Equipment is returned;
- Equipment inspection is completed;
- All Accessories are accounted for;
- Outstanding invoices are settled;
- Damage assessment is completed; and
- Other contractual obligations are satisfied.
Refund timing may depend on the applicable agreement and internal reconciliation process.
19. PAYMENT TERMS
Rental Charges must be paid according to the agreed billing cycle.
Payment may be:
- Monthly in advance;
- Monthly in arrears;
- Weekly;
- Daily;
- Project-based; or
- As otherwise agreed.
20. ADVANCE RENTAL
Where advance rental is required, Equipment will normally be deployed only after receipt of the agreed advance payment and completion of required documentation.
21. LATE PAYMENT
Late payments may result in:
- Interest;
- Late payment charges;
- Suspension of services;
- Suspension of technical support;
- Recovery of Equipment; and/or
- Other remedies permitted under the applicable agreement and law.
22. NON-PAYMENT
If the Customer fails to make payments when due, Hyphenet Enterprises may, subject to applicable law and the applicable agreement:
- Suspend services;
- Stop further deployment;
- Require immediate settlement;
- Recover Equipment;
- Adjust the Security Deposit;
- Terminate the rental arrangement; and/or
- Initiate lawful recovery proceedings.
23. DELIVERY
Hyphenet Enterprises will use reasonable efforts to deliver Equipment within the agreed timeframe.
Delivery may be affected by:
- Location;
- Quantity;
- Equipment availability;
- Customer readiness;
- Logistics;
- Security clearance;
- Payment status;
- Documentation; and
- Circumstances beyond reasonable control.
24. DELIVERY LOCATIONS
Equipment may be delivered to:
- Customer office;
- Project site;
- Employee location where expressly agreed;
- Data centre;
- Temporary office;
- Other approved location.
The Customer must provide accurate delivery information.
25. CUSTOMER SITE ACCESS
The Customer must provide reasonable access for:
- Delivery;
- Installation;
- Maintenance;
- Repair;
- Replacement;
- Inspection; and
- Collection.
Customer-related delays may affect service timelines and may result in additional charges where applicable.
26. INSTALLATION AND DEPLOYMENT
Where included, Hyphenet Enterprises may perform:
- Equipment installation;
- Basic configuration;
- Operating system setup;
- Hardware testing;
- Peripheral connection;
- Asset tagging;
- Network connection;
- Domain joining where agreed;
- Basic software installation; and
- Other agreed deployment services.
Services outside the agreed scope may be chargeable separately.
27. CUSTOMER SITE RESPONSIBILITIES
The Customer shall provide a suitable environment for Equipment.
This may include:
- Appropriate power supply;
- Network connectivity;
- Suitable working area;
- Temperature-controlled environment where required;
- Physical security;
- Access control;
- Server-room facilities where applicable; and
- Other reasonable infrastructure.
28. ACCEPTANCE OF EQUIPMENT
The Customer should inspect Equipment upon delivery.
The Customer should promptly notify Hyphenet Enterprises of:
- Incorrect Equipment;
- Physical damage;
- Missing Accessories;
- Incorrect configuration;
- Non-functional Equipment; or
- Other material discrepancies.
29. ASSET TAGGING AND IDENTIFICATION
Hyphenet Enterprises may place:
- Asset tags;
- Serial-number labels;
- Barcode labels;
- Security labels; or
- Other identification marks
on Equipment.
The Customer must not remove, alter, conceal or damage such identification.
30. CUSTOMER'S RIGHT TO USE EQUIPMENT
Subject to payment of all applicable charges, the Customer may use the Equipment solely for its legitimate business purposes during the Rental Period.
The Customer shall not permit unauthorised persons or organisations to use the Equipment.
31. CUSTOMER RESPONSIBILITY FOR EQUIPMENT
The Customer is responsible for reasonable care and custody of the Equipment while it is in the Customer's possession or control.
The Customer shall:
- Keep Equipment secure;
- Protect it against theft;
- Prevent misuse;
- Prevent unauthorised access;
- Use Equipment appropriately;
- Follow manufacturer instructions;
- Use suitable power sources;
- Prevent liquid damage; and
- Immediately report faults, loss or damage.
32. PROHIBITED USE
The Customer shall not use Equipment for:
- Illegal activities;
- Fraud;
- Malware distribution;
- Unauthorised access;
- Cyberattacks;
- Unauthorised penetration testing;
- Cryptocurrency mining without written approval;
- Activities that intentionally damage Equipment;
- Activities that create unreasonable security risk; or
- Other unlawful purposes.
33. MODIFICATION OF EQUIPMENT
The Customer must not modify Equipment without prior written approval.
This includes:
- Opening hardware;
- Changing internal components;
- Removing components;
- BIOS modifications outside authorised configuration;
- Removing asset labels;
- Physical alterations;
- Unauthorised firmware modifications; or
- Other material modifications.
34. THIRD-PARTY REPAIR
The Customer shall not permit an unauthorised third party to repair or modify rented Equipment.
If unauthorised repair causes damage, the Customer may be responsible for the resulting costs.
35. NORMAL WEAR AND TEAR
Reasonable wear resulting from normal use is not ordinarily chargeable.
Examples may include:
- Minor cosmetic marks;
- Normal keyboard wear;
- Normal touchpad wear;
- Minor surface wear; and
- Other reasonable deterioration.
Damage beyond normal wear and tear may be chargeable.
36. DAMAGE
Damage may include:
- Broken display;
- Cracked casing;
- Liquid damage;
- Broken hinges;
- Damaged ports;
- Keyboard damage;
- Physical impact;
- Electrical damage;
- Burn damage;
- Missing components;
- Tampering; or
- Other customer-caused damage.
The Customer may be responsible for reasonable repair or replacement costs.
37. DAMAGE ASSESSMENT
Hyphenet Enterprises may inspect Equipment to determine:
- Cause of damage;
- Extent of damage;
- Repairability;
- Replacement requirement;
- Parts required; and
- Applicable charges.
Where appropriate, photographs, inspection reports or service reports may be used to document the condition.
38. LOSS OF EQUIPMENT
The Customer must immediately notify Hyphenet Enterprises if Equipment is lost.
The Customer may be responsible for the applicable replacement value and other reasonable costs, subject to the applicable agreement and law.
39. THEFT OF EQUIPMENT
In case of theft, the Customer shall:
- Immediately notify Hyphenet Enterprises;
- Take reasonable steps to secure the premises;
- File a police complaint/FIR where appropriate;
- Provide a copy of relevant documentation upon request; and
- Cooperate with any insurance or recovery process.
The Customer may remain responsible for the applicable replacement value, subject to the applicable agreement and law.
40. FIRE, WATER OR ENVIRONMENTAL DAMAGE
The Customer shall take reasonable measures to protect Equipment from:
- Fire;
- Water;
- Flood;
- Excessive humidity;
- Extreme heat;
- Electrical surge;
- Unstable power;
- Dust;
- Other environmental risks.
Where damage results from Customer negligence or unsuitable conditions, applicable repair or replacement charges may apply.
41. MAINTENANCE
Hyphenet Enterprises will provide maintenance for Equipment where included in the rental arrangement.
Maintenance may include:
- Hardware troubleshooting;
- Component replacement;
- Preventive maintenance;
- Repair;
- Diagnostic testing;
- Software reinstallation where applicable; and
- Other agreed services.
42. HARDWARE FAILURE
Where Equipment experiences a hardware failure resulting from ordinary use, Hyphenet Enterprises may:
- Repair the Equipment;
- Replace the defective component;
- Provide temporary Equipment;
- Replace the Equipment; or
- Provide another commercially reasonable solution.
43. EQUIPMENT REPLACEMENT
Replacement may be provided where:
- Equipment cannot reasonably be repaired;
- Repair time exceeds the applicable SLA;
- A critical hardware failure occurs;
- Replacement is commercially agreed; or
- Replacement is otherwise required under the applicable agreement.
Replacement equipment may be of equivalent or higher specification, subject to availability.
44. EQUIPMENT NOT CONSIDERED FAILED
Equipment will not necessarily be considered defective merely because:
- Customer software requires higher specifications;
- A customer application is incompatible;
- Customer software is incorrectly configured;
- Customer network is unavailable;
- Internet service is unavailable;
- Third-party software fails;
- Customer changes system configuration;
- Malware has been introduced by the Customer; or
- The issue falls outside the agreed equipment specification.
45. ACCESSORIES
The Customer is responsible for all Accessories supplied with the Equipment.
Accessories may include:
- Chargers;
- Power adapters;
- Bags;
- Cables;
- Docking stations;
- Keyboards;
- Mice;
- Monitors; and
- Other peripherals.
Lost or damaged Accessories may attract applicable replacement charges.
46. BATTERY CONDITION
For laptops, battery performance may vary depending on:
- Device age;
- Battery health;
- Usage;
- Operating system;
- Applications;
- Power settings; and
- Environmental conditions.
Unless a specific battery performance commitment is included in the quotation, battery backup is not guaranteed for a particular duration.
47. SOFTWARE
Software installed on Equipment may include:
- Operating system;
- Drivers;
- Security software;
- Productivity software; and
- Other software expressly included.
Software remains subject to applicable licence terms.
48. CUSTOMER SOFTWARE
The Customer is responsible for ensuring that all software installed by or for the Customer is:
- Properly licensed;
- Legally obtained;
- Appropriate for the Equipment;
- Free from malicious code; and
- Used in compliance with applicable law.
49. DATA ON RENTED EQUIPMENT
The Customer remains responsible for data stored on rented Equipment.
The Customer should:
- Maintain backups;
- Use appropriate security controls;
- Protect credentials;
- Remove confidential information before return where appropriate; and
- Follow applicable data-security requirements.
50. DATA ACCESS DURING SUPPORT
Where technical support requires access to Equipment, Hyphenet Enterprises personnel may access technical information reasonably necessary to diagnose or resolve the issue.
Where access to customer data is unavoidable, such access shall be limited to what is reasonably necessary and subject to applicable contractual and privacy obligations.
51. DATA BACKUP
Unless expressly agreed in writing, Hyphenet Enterprises does not provide guaranteed backup or recovery of Customer data stored on rented Equipment.
The Customer is responsible for maintaining independent backups.
52. DATA LOSS
To the extent permitted by law, Hyphenet Enterprises shall not be responsible for loss of Customer data arising from:
- Hardware failure;
- Repair;
- Replacement;
- Reinstallation;
- Operating system failure;
- Malware;
- Customer actions;
- Software failure; or
- Other circumstances outside Hyphenet Enterprises' reasonable control,
except where liability is expressly accepted under a written agreement.
53. DATA ERASURE ON RETURN
Before returning Equipment, the Customer should remove:
- User accounts;
- Passwords;
- Personal information;
- Business data;
- Cloud accounts;
- Authentication tokens; and
- Other Customer information.
Where agreed, Hyphenet Enterprises may perform data sanitisation or secure erasure.
54. RETURN OF EQUIPMENT
At the end of the Rental Period, the Customer must return all Equipment and Accessories.
Equipment should be returned:
- In reasonable condition;
- With all Accessories;
- With asset tags intact;
- Without unauthorised modifications; and
- At the agreed location or through the agreed collection process.
55. RETURN INSPECTION
After return, Hyphenet Enterprises may inspect the Equipment.
The inspection may identify:
- Damage;
- Missing Accessories;
- Missing components;
- Unauthorised modifications;
- Data/security issues;
- Cosmetic condition; and
- Other discrepancies.
56. LATE RETURN
If Equipment is not returned on time, the Customer may remain responsible for Rental Charges until the Equipment is returned or otherwise resolved.
Additional charges may apply in accordance with the applicable agreement.
57. FAILURE TO RETURN EQUIPMENT
Failure to return Equipment after expiry or termination may constitute a material breach of the rental arrangement.
Hyphenet Enterprises may take lawful steps to recover its Equipment and outstanding amounts.
58. EQUIPMENT RECOVERY
Where Equipment remains with the Customer after termination or expiry, the Customer shall provide reasonable access for collection.
The Customer shall not obstruct lawful recovery of Equipment.
Any recovery process will be conducted in accordance with applicable law and contractual rights.
59. EARLY RETURN
The Customer may request early return of Equipment.
Early return does not automatically terminate payment obligations.
Where a minimum rental period or lock-in period applies, the Customer may remain responsible for charges for the agreed minimum period unless otherwise agreed in writing.
60. EARLY TERMINATION BY CUSTOMER
If the Customer terminates the rental arrangement before the agreed minimum period, applicable early termination charges may apply if specified in the quotation or rental agreement.
61. TERMINATION BY HYPHENET ENTERPRISES
Hyphenet Enterprises may terminate or suspend a rental arrangement for reasons including:
- Non-payment;
- Material breach;
- Misuse of Equipment;
- Unlawful activity;
- Unauthorised transfer;
- Repeated failure to comply with rental obligations;
- Security risk;
- Insolvency where legally applicable; or
- Other grounds specified in the applicable agreement.
62. EFFECT OF TERMINATION
Upon termination, the Customer must:
- Stop using Equipment;
- Return Equipment;
- Return Accessories;
- Pay outstanding amounts;
- Provide access for collection;
- Remove Customer data; and
- Complete other applicable obligations.
63. RENTAL EXTENSION AFTER EXPIRY
If Equipment remains with the Customer after the Rental Period and no extension has been formally agreed, the Customer may remain liable for applicable rental charges and other contractual remedies until the Equipment is returned or otherwise resolved.
64. TRANSFER TO ANOTHER LOCATION
The Customer must obtain approval before moving rented Equipment to a location not covered by the rental arrangement where such movement may affect service, insurance, security or asset tracking.
65. SUB-RENTAL
The Customer shall not sub-rent or lend Equipment to another organisation or person without written approval from Hyphenet Enterprises.
66. EMPLOYEE USE
Where Equipment is assigned to an employee, the Customer remains responsible for:
- Equipment custody;
- Appropriate use;
- Security;
- Return;
- Damage;
- Loss; and
- Compliance with these Rental Terms.
67. REMOTE EMPLOYEE EQUIPMENT
Where Equipment is deployed to an employee's residence or remote location, the Customer shall ensure reasonable security and appropriate care.
The Customer remains responsible for the Equipment until it is returned and accepted by Hyphenet Enterprises.
68. ON-SITE ENGINEER SUPPORT
Where on-site engineer support is included in the rental arrangement, the engineer's responsibilities shall be limited to the agreed scope.
Additional work may require separate commercial approval.
69. SERVICE LEVELS
Where an SLA is agreed, response and resolution commitments shall be governed by the applicable SLA.
SLA timelines may depend on:
- Severity;
- Location;
- Availability of parts;
- Customer cooperation;
- Equipment availability;
- Third-party dependencies; and
- Other circumstances beyond reasonable control.
70. CUSTOMER COOPERATION
The Customer shall provide reasonable cooperation, including:
- Access to Equipment;
- Access to relevant premises;
- Authorised system access;
- Information required for troubleshooting;
- Approval for repair/replacement;
- Contact persons; and
- Other information reasonably necessary to provide services.
71. CUSTOMER'S IT ENVIRONMENT
Unless expressly included in the service scope, the Customer remains responsible for:
- Internet;
- Network;
- Applications;
- Cloud services;
- User accounts;
- Domain services;
- Third-party applications;
- Software licences; and
- Other customer-controlled infrastructure.
72. ELECTRICAL AND ENVIRONMENTAL REQUIREMENTS
The Customer shall provide appropriate:
- Electrical supply;
- Earthing;
- Surge protection where appropriate;
- Power backup where required;
- Cooling;
- Ventilation; and
- Environmental conditions.
Damage caused by inadequate electrical or environmental conditions may be chargeable.
73. SECURITY OF EQUIPMENT
The Customer shall take reasonable measures to prevent:
- Theft;
- Unauthorised access;
- Tampering;
- Misuse;
- Loss; and
- Damage.
74. INSURANCE
Where required under the applicable rental agreement, the Customer may be required to maintain appropriate insurance for rented Equipment.
Where insurance is not specifically agreed, responsibility for Equipment loss or damage shall be determined according to these Rental Terms and the applicable agreement.
75. CUSTOMER INDEMNIFICATION
To the extent permitted by applicable law, the Customer may be responsible for claims, losses, costs or expenses arising from:
- Customer misuse;
- Negligence;
- Unauthorised modification;
- Unlawful use;
- Unauthorised transfer;
- Damage caused by Customer personnel;
- Loss or theft; or
- Breach of these Rental Terms.
76. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Hyphenet Enterprises shall not be liable for indirect, incidental, special or consequential losses, including:
- Loss of profits;
- Loss of business;
- Loss of opportunity;
- Business interruption;
- Loss of anticipated savings; or
- Indirect loss of data,
except where liability cannot lawfully be excluded.
Any specific liability cap agreed in the applicable rental agreement shall prevail.
77. FORCE MAJEURE
Hyphenet Enterprises shall not be liable for delay or failure caused by circumstances beyond reasonable control, including:
- Natural disasters;
- Flood;
- Fire;
- Earthquake;
- War;
- Civil unrest;
- Government restrictions;
- Strikes;
- Supply chain disruptions;
- Manufacturer shortages;
- Transportation failures;
- Major network failures;
- Cybersecurity incidents; or
- Other circumstances beyond reasonable control.
78. CONFIDENTIALITY
Both parties shall use reasonable measures to protect confidential information exchanged in connection with the rental arrangement.
Additional confidentiality obligations may be contained in a separate NDA or agreement.
79. PRIVACY AND PERSONAL DATA
Personal data processed in connection with the rental service shall be handled in accordance with the Hyphenet Enterprises Privacy Policy:

The Customer shall also comply with applicable data protection laws when providing personal data to Hyphenet Enterprises.
80. CUSTOMER EMPLOYEE INFORMATION
Where the Customer provides information about employees for equipment allocation, delivery, support or asset management, the Customer represents that it has the necessary authority to provide such information.
Hyphenet Enterprises will process such information for the relevant business and service purposes in accordance with applicable law and its Privacy Policy.
81. EQUIPMENT ASSET RECORDS
Hyphenet Enterprises may maintain records relating to rented Equipment, including:
- Serial number;
- Asset number;
- Customer;
- Assigned user;
- Location;
- Deployment date;
- Return date;
- Repair history;
- Replacement history; and
- Other information required for asset management.
82. AUDIT AND INSPECTION
Where agreed in the rental agreement, Hyphenet Enterprises may inspect rented Equipment during reasonable business hours for purposes including:
- Asset verification;
- Maintenance;
- Repair;
- Security;
- Inventory reconciliation;
- Contract compliance; and
- Equipment condition assessment.
83. CUSTOMER RECORDS
The Customer should maintain appropriate records relating to:
- Equipment allocation;
- Employee assignment;
- Return;
- Damage;
- Service requests; and
- Other relevant rental information.
84. COMPLIANCE WITH LAW
The Customer shall use rented Equipment in compliance with all applicable laws, regulations and industry requirements.
85. EXPORT AND CROSS-BORDER USE
The Customer shall not move Equipment outside India or use Equipment outside the agreed territory without prior written approval where such movement may affect legal, regulatory, insurance, tax, security or service obligations.
86. SOFTWARE LICENSING
The Customer shall comply with all applicable software licensing requirements.
Hyphenet Enterprises is not responsible for unlicensed software installed or used by the Customer.
87. CUSTOMER-SUPPLIED DATA
The Customer is responsible for ensuring that information stored on or processed through Equipment does not violate:
- Privacy laws;
- Intellectual property rights;
- Confidentiality obligations;
- Security requirements; or
- Other applicable laws.
88. NO GUARANTEE OF CUSTOMER DATA RECOVERY
Unless explicitly contracted, Hyphenet Enterprises does not guarantee recovery of Customer data from damaged, failed, lost or returned Equipment.
89. EQUIPMENT OBSOLESCENCE
Where Equipment becomes obsolete, reaches end-of-life or is no longer commercially supported, Hyphenet Enterprises may propose:
- Replacement;
- Upgrade;
- Alternative Equipment; or
- Revised rental arrangement.
The applicable commercial agreement shall determine the Customer's obligations.
90. EQUIPMENT UPGRADE
Customers may request an equipment upgrade during the Rental Period.
Any upgrade is subject to:
- Availability;
- Technical feasibility;
- Revised rental charges;
- Applicable logistics charges; and
- Commercial approval.
91. DOWNSIZING OR REDUCTION OF QUANTITY
Reduction in rented quantity may be subject to:
- Minimum rental commitment;
- Notice requirements;
- Early termination charges;
- Equipment collection costs; and
- Applicable commercial terms.
92. REPLACEMENT WITH EQUIVALENT EQUIPMENT
Where the original model is unavailable, Hyphenet Enterprises may provide equivalent or higher-specification Equipment where commercially reasonable.
93. MANUFACTURER WARRANTY
Where Equipment is covered by manufacturer warranty, warranty claims may be handled according to the manufacturer's terms.
Hyphenet Enterprises may coordinate warranty service where included in the rental arrangement.
94. THIRD-PARTY COMPONENTS
Equipment may contain components manufactured by third parties.
Such components may be subject to the manufacturer's applicable warranty and service conditions.
95. CUSTOMER REQUESTED CONFIGURATION
Where the Customer requests a custom configuration, additional charges may apply for:
- RAM upgrades;
- Storage upgrades;
- Software installation;
- Accessories;
- Imaging;
- Configuration;
- Deployment; or
- Other customisation.
96. CUSTOM IMAGING AND DEPLOYMENT
Where a Customer provides an operating system image or software image for deployment, the Customer is responsible for:
- Licensing;
- Data;
- Security;
- Compatibility;
- Authorisation; and
- Legal use of the image.
Hyphenet Enterprises may reject an image that presents a material security, legal or technical risk.
97. CUSTOMER SECURITY REQUIREMENTS
Where the Customer requires specific security controls, such requirements should be agreed before deployment.
Examples include:
- BIOS password;
- Secure Boot;
- BitLocker;
- Endpoint security;
- Domain joining;
- VPN;
- USB restrictions;
- Security software; and
- Other controls.
Additional charges may apply.
98. NETWORK AND SERVER RENTAL
Server or networking equipment rental may be subject to additional requirements concerning:
- Data centre access;
- Power;
- Cooling;
- Rack space;
- Internet;
- IP addresses;
- Firewall;
- Backup;
- Monitoring;
- Security;
- Physical access; and
- Other infrastructure.
The applicable server rental agreement or statement of work shall define the relevant responsibilities.
99. SERVER DATA
The Customer remains responsible for data hosted or stored on rented servers unless backup, managed hosting or data-management services are expressly contracted.
The Customer should maintain appropriate backups.
100. SERVER SECURITY
Customers renting servers remain responsible for securing applications, accounts and data hosted on those servers unless security management is expressly included in the service scope.
Hyphenet Enterprises may provide security services where separately contracted.
101. RETURN OF SERVER OR DATA-CENTRE EQUIPMENT
Where server or networking equipment is deployed at a data centre or third-party facility, return and collection shall be coordinated with the Customer and the relevant facility.
The Customer must provide necessary access and authorisations.
102. CUSTOMER RESPONSIBILITY FOR THIRD-PARTY SOFTWARE
Hyphenet Enterprises is not responsible for failures caused by third-party software unless such software is specifically included within the agreed service scope.
103. SUPPORT EXCLUSIONS
Unless expressly agreed, rental support does not automatically include:
- Application development;
- Custom software development;
- Major database administration;
- Cybersecurity incident response;
- Data forensics;
- Major network redesign;
- Electrical work;
- Civil work;
- Unsupported legacy software; or
- Other specialist services.
104. COMMUNICATIONS
Rental-related communications may be made through:
- Email;
- Telephone;
- WhatsApp;
- Customer portal;
- Written communication; or
- Other agreed channels.
Customers must maintain accurate contact information.
105. ELECTRONIC RECORDS
Electronic quotations, invoices, emails, service tickets, delivery confirmations and return records may be retained as evidence of the rental transaction, subject to applicable law.
106. NOTICES
Formal notices relating to the rental arrangement shall be provided according to the applicable rental agreement.
General communications may not constitute formal contractual notice unless expressly accepted as such.
107. CHANGES TO RENTAL TERMS
Hyphenet Enterprises may update these standard Rental Terms from time to time.
However, an existing rental transaction shall be governed by the terms applicable to that transaction unless the parties agree otherwise in writing.
108. ASSIGNMENT
The Customer may not transfer its rights or obligations under a rental arrangement without prior written approval from Hyphenet Enterprises.
109. NO WAIVER
Failure to enforce any provision of these Rental Terms does not constitute a waiver of that provision.
110. SEVERABILITY
If any provision of these Rental Terms is found to be invalid or unenforceable, the remaining provisions shall continue to apply to the extent permitted by law.
111. ENTIRE AGREEMENT
The applicable rental agreement, quotation, accepted purchase order, SLA, statement of work and these Rental Terms together form the contractual framework for the relevant rental transaction.
Where a signed rental agreement contains terms inconsistent with these Rental Terms, the signed rental agreement shall prevail.
112. DISPUTE RESOLUTION
The parties shall first attempt to resolve rental-related disputes through good-faith discussions between authorised representatives.
Where the applicable rental agreement contains an arbitration, mediation or other dispute-resolution mechanism, that mechanism shall apply.
113. GOVERNING LAW
These Rental Terms shall be governed by the laws of India.
Subject to any specific dispute-resolution or jurisdiction clause contained in the applicable rental agreement, disputes shall be subject to the jurisdiction of the appropriate courts having jurisdiction over Hyphenet Enterprises.

116. CUSTOMER ACKNOWLEDGEMENT
By accepting a quotation, issuing a purchase order, making payment, taking possession of Equipment, signing a rental agreement or otherwise accepting Equipment from Hyphenet Enterprises, the Customer acknowledges that it has read, understood and agreed to the applicable Rental Terms and the commercial conditions applicable to the transaction.
Where a separate written agreement has been executed, that agreement shall prevail to the extent of any inconsistency.
117. FINAL ACKNOWLEDGEMENT
The Customer acknowledges that:
- Rented Equipment remains the property of Hyphenet Enterprises or the applicable owner;
- The Customer is responsible for the care and custody of Equipment during the Rental Period;
- Rental Charges must be paid according to the agreed billing schedule;
- Damage beyond normal wear and tear may be chargeable;
- Loss or theft may result in replacement charges;
- Equipment must be returned at the end of the Rental Period;
- Customer data should be backed up and removed before return;
- Unauthorised modification or sub-rental is prohibited; and
- The applicable quotation, rental agreement and SLA may contain additional commercial conditions.
